Contract for Videography Services

This Videography Contract is made effective as of Date by and between Client Full Name of Client Address and 360 El Torito of Los Angeles, CA.

Description of Services

Beginning on Project Date 360 El Torito will provide to Client Full Name the following videography services:

Performance of Services

360 El Torito will provide adequate coverage for Client Full Name event and will produce the highest quality digital video, delivered in a timely manner, captured and mastered in digital format with state of the art editing, outputted in the format of Client Full Name choice.

Payment

Client Full Name agrees to pay 360 El Torito a sum of $ Amount ($) for Service Hours of videography services.

Term

This Contract shall commence on the effective date and terminate on End Date . 360 El Torito shall provide video samples within Days days of the event.

Copyright

Any copyrightable works developed in whole or in part by 360 El Torito in connection with the Services will be the exclusive property of 360 El Torito.

Courtesy

The videography schedule and methodology are designed to accommodate the goals and wishes of the Client. 360 El Torito agrees that positive cooperation and punctuality are of the utmost importance.

Relationship of Parties

360 El Torito is an independent contractor and not an employee of the Client.

Warranty

360 El Torito shall provide services in a timely and workmanlike manner meeting generally acceptable professional standards.

Indemnification

Client warrants full legal rights to all materials supplied and agrees to indemnify and hold 360 El Torito harmless from any losses arising from use of those materials.

Liability

360 El Torito accepts no responsibility for unforeseen circumstances including equipment failure, power outages, or illness. Liability shall not exceed the total monies paid by the Client.

Default & Remedies

Failure to make required payments or deliver services constitutes default. The non-defaulting party may terminate with 15 days written notice to cure.

Force Majeure

Neither party shall be liable for delays caused by circumstances beyond their reasonable control including acts of God, natural disasters, or government orders.

Arbitration

Any disputes shall be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association.

Entire Contract

This Contract supersedes all prior agreements between the parties concerning its subject matter.

Severability

If any provision is found invalid, the remaining provisions shall continue in full force and effect.

Amendment

This Contract may only be modified in writing signed by both parties.

Assignment

Neither party may assign this Contract without prior written consent of the other party.

Signatures

This Agreement shall be effective as of the date first written above.
